B2B (Event) Terms of Service

These Terms apply to organizers using the EatSafe B2B (Event) service. The general individual Terms of Service also apply, but these B2B Terms take precedence for B2B service usage.

1. Overview and Definitions

These B2B Terms of Service (the "Terms") govern your use, as an organizer, of the EatSafe B2B (Event) service (the "Service") provided by the operator ("we", "us", "our"). In these Terms (1) "Organizer" means a user who purchases the Service and creates an event (whether a corporation, sole proprietor, or individual) (2) "Participant" means an individual who creates an account and uses an allergy card via an invitation link issued by an Organizer (3) "Event" means a unit created by an Organizer, having one destination and a maximum number of participants (the "Capacity") (4) "Event Pass" means the right for a Participant to use an allergy card for the event's destination (5) the "Service" comprises event creation, invitation link issuance, participant allergy card provision, organizer dashboard, and related features.

2. Contracting Parties and Relationships

These Terms govern the contract between the Organizer and us. Participants enter a separate usage agreement with us under the individual Terms of Service and Privacy Policy at the time they join through an invitation link. The relationship between Organizer and Participant (event contract, participation fees, itinerary, and any other matters) is established separately between them and we have no involvement. Organizer shall not unduly exaggerate or guarantee the functions or effects of the Service to Participants.

3. Service Description

The Service provides Organizers with (1) event creation (name, destination, capacity) (2) invitation link issuance and reissuance (3) organizer dashboard (viewing participants' card setup status, allergen information, and epinephrine auto-injector status) (4) individualized allergy cards for Participants (displayed in one destination language selected at event creation, from Japan, Thailand, South Korea, China, India, Italy, France, Vietnam, Indonesia, and Mexico — 10 countries). The Service is a communication aid tool and is not a medical document, certificate, or authentication. We do not guarantee that restaurants will fully understand or accommodate all dietary requirements of event participants.

4. Fees, Payment, and Invoice

Fees are paid per event in a single payment at the time of purchase, on a tiered per-person basis (all tax-inclusive): 1-10 participants ¥550/person, 11-50 participants ¥330/person, 51+ participants ¥220/person. Payment is processed through Stripe. We do not store credit card information. We are a registered Qualified Invoice Issuer (registration number: T7810178864326) under the Japanese invoicing system and can issue qualified invoices upon request. [Free First Event] Each account's first event (up to 5 participants) is available free of charge. Credit card registration is required in advance as a condition of free use, but no payment will be charged. The free event is limited to one per account; standard pricing applies for subsequent events. Using the same credit card across multiple accounts to obtain the free event is prohibited; we use the card's Stripe fingerprint for duplicate detection. If abuse is identified, the account may be suspended and standard fees may be charged retroactively.

5. Invitation Links and Capacity

Organizers may freely distribute invitation links to Participants up to the Capacity of the purchased event. When the Capacity is reached, the system automatically stops accepting new participants (no over-capacity signups are permitted). Organizers shall not distribute invitation links broadly to unspecified audiences clearly exceeding the Capacity (such as public social media posts). Management of invitation links is the Organizer's responsibility; we are not liable for losses arising from unintended leakage.

6. Validity Period and Seat Handling

Purchased Event Passes are valid until 30 days after the event's end date, or 180 days after purchase, whichever is later. During the validity period, Participants may be invited up to the event's Capacity. Purchased seats cannot be transferred, carried over, or reassigned to another event, another destination, or another Organizer. Unused seats at the end of the validity period are not refundable.

7. Refund Policy

Due to the nature of digital services, refunds are generally not provided. However, a full refund may be requested if both of the following conditions are met (1) the request is made within 14 days of purchase; and (2) no Participant of that event has started card setup. Beyond the above, in the event that a event is cancelled due to natural disaster, pandemic, government action, or other events not reasonably foreseeable, please contact us individually. We may at our reasonable discretion provide partial refunds or flexible accommodations such as extending the service period. [Free First Event] Free events are not subject to refund as no payment is charged. Once the free event entitlement has been used, deleting or cancelling the event does not restore the entitlement; the same account cannot obtain a free event again.

8. Access to and Handling of Participant Information

Organizers may view, through the organizer dashboard for their own events, the following Participant information (1) allergens and severity (2) dietary restrictions (3) whether the Participant carries an epinephrine auto-injector (4) card setup status. Access to this information is only possible when the Participant has provided explicit consent at the time of joining via the invitation link. Organizers shall use such information solely for the following purposes: (a) selection of restaurants and adjustment of meal content for event operations; (b) ensuring meal safety; (c) appropriate emergency response (including emergency calls and requesting the Participant to administer first aid). Organizers shall not: (x) use Participant information for any purpose other than the above; (y) publish such information on social media, websites, printed materials, or any other media; (z) disclose such information to third parties beyond what is necessary for event operations (such as restaurants); or (w) use it for commercial purposes or sale to third parties. Organizers shall handle Participant information with appropriate security measures and endeavor to destroy records promptly after the event ends.

9. Participant Consent and Withdrawal

Participants provide explicit consent to the information sharing described above at the time of joining via invitation link. Participants who do not consent may not join via the invitation link but may use the Service through regular personal account registration. Participants may withdraw from an event at any time from their account settings, after which Organizers can no longer view their information. However, information already obtained or recorded by the Organizer prior to withdrawal shall continue to be handled in accordance with Section 8 of these Terms.

10. No Medical Advice

The Service and allergy cards do not substitute for medical or other professional advice. Organizers shall not represent or explain to Participants that the Service guarantees medical safety. If professional judgment about the nature or severity of food allergies or intolerances is needed, Organizers shall advise Participants to consult medical professionals. We do not provide any medical, dietary, nutritional, or health advice.

11. Emergency Response and Epinephrine Auto-Injectors

Epinephrine auto-injectors (such as EpiPen, collectively "auto-injectors") are, in principle, used by the Participant who carries them. Neither the Organizer nor we are obligated to operate auto-injectors on behalf of Participants. In emergencies, Organizers are expected to (1) promptly call the local emergency number (displayed on each country's allergy card) (2) assist the Participant in using their own auto-injector if needed (3) request assistance from surrounding persons and explain the situation. We may provide reference links to official information from public agencies regarding auto-injector operation in each destination, but do not guarantee the accuracy or currency of such information; operation should be performed by trained persons. Organizers acknowledge that we bear no responsibility for any outcome arising from whether or not auto-injector operation was performed.

12. Health and Safety Disclaimer

We, our agents, affiliates, suppliers, directors, and employees bear no liability whatsoever for personal injury, illness, or death arising from Participants' food allergies, intolerances, or dietary restrictions. Consumption of food by persons with food allergies carries inherent risks, and allergy cards cannot fully eliminate such risks. We do not guarantee that cards will fully communicate Participants' food allergies or dietary restrictions to readers. The effectiveness of communication depends on multiple factors outside our control, including: (a) the reader's language ability and literacy; (b) food safety measures at the facility; (c) the Participant's own verbal communication; (d) regional variations in ingredient names and cooking methods.

13. Organizer Representations and Warranties

In using the Service, the Organizer represents and warrants that (1) they will not unduly exaggerate or guarantee absolute safety of the Service's functions or effects to Participants (2) they will manage invitation links appropriately and not distribute them to unspecified audiences exceeding the Capacity (3) they will not use Participant information for purposes beyond those specified in Section 8 (4) they will resolve, at their own responsibility and expense, any disputes with Participants related to the Service (5) as an organizer, they will comply with applicable local laws (such as travel business law, food sanitation law, and consumer protection law).

14. Translation Accuracy

Although we strive to provide accurate translations, food translations cannot be fully guaranteed for accuracy due to regional dialects, cultural differences, and linguistic evolution. We do not guarantee the accuracy, completeness, or effectiveness of translated content on cards. Organizers shall advise Participants and card readers to take additional measures to verify food safety rather than relying solely on the cards.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will operate uninterrupted, error-free, or secure.

16. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages (including but not limited to personal injury, illness, death, economic loss, lost opportunities, and losses from event cancellation) arising out of or relating to the use of the Service or allergy cards. Our total liability regarding the Service shall not exceed the amount paid by the Organizer to us for the event in question.

17. Indemnification

The Organizer agrees to indemnify, defend, and hold harmless us, our officers, directors, employees, agents, and affiliates from all claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) the Organizer's use of the Service; (b) breach of these Terms; (c) unduly exaggerated representations, explanations, or guarantees made by the Organizer to Participants; (d) improper handling of Participant information by the Organizer; (e) disputes between the Organizer and Participants; (f) third-party claims arising from the Organizer's improper management or distribution of invitation links.

18. Force Majeure

We shall not be liable for any delay or inability to perform our obligations due to events beyond our reasonable control, including natural disasters, system failures, cyber attacks, internet outages, pandemic, government action, war, or terrorism.

19. Suspension and Termination

If the Organizer breaches these Terms, we may, without prior notice, suspend or terminate access to accounts, events, and invitation links at any time. Upon suspension, the right to use the Service immediately expires and no refund will be made for unused seats. Provisions of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and the information handling obligations in Section 8) shall remain in effect after suspension.

20. Changes to Terms

We reserve the right to change these Terms at any time. For material changes, we will notify Organizers by email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.

21. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Japan. Any dispute arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

Article 22 (Exclusion of Anti-Social Forces)

The Organizer represents and warrants, presently and in the future, that neither it nor its officers are (1) an organized crime group (2) a member thereof (3) a former member within five years (4) a quasi-member (5) a related enterprise (6) sokaiya / social-movement extortionists / special intelligence violence groups (7) anyone equivalent, or (8) a corporation in which any of the foregoing has substantial management involvement. The Organizer further confirms that it will not engage, directly or through third parties, in violent demands, unjust demands beyond legal liability, threatening conduct, force, defamation by rumor or fraud, or any similar acts. Violation entitles us to terminate immediately without notice and without liability for resulting damage.

Article 23 (Anti-Fraud Measures)

To prevent abuse of the free-event tier and similar fraud, we may apply reasonable technical means including Stripe card-fingerprint matching across multiple accounts. Where we obtain a reasonable basis for suspecting fraud, we may (1) notify the Organizer of the basis and intended response, granting a 14-day period to rebut (2) absent a reasonable explanation within that period, terminate the contract, charge the standard fee for the abused free event (per Article 4), and take other necessary action (3) in cases of high urgency, suspend the account before the rebuttal period, with the notice and rebuttal opportunity given thereafter without delay. This article does not preclude legitimate uses of the same card by family members or multiple personnel within the same organization; we will reasonably consider such explanations.
